General terms of use and subscription
These terms govern the use of Billix Evo by client companies and their users. They are accepted at sign-up and upon each update.
The entire site is backed up once a day. Data entered between two backups may be lost in an incident; we are not liable for it. Export your data regularly.
1. Purpose
Billix Evo is online invoicing software (clients, invoices, QR-bills, credit notes, payments, sending by e-mail). It provides no legal, tax or accounting advice and does not replace accounting. The functions available depend on the company’s plan and may change.
2. Account and access
The client appoints an administrator and users. It is responsible for keeping credentials confidential, for actions carried out with its accounts and for revoking its staff’s access. Any abusive or suspicious use must be reported without delay.
3. Plans, prices and payment
The plans, prices and limits shown on the pricing page at the time of subscription apply. Paid subscriptions are paid in advance through the payment provider Stripe and renew automatically until cancelled. Amounts already paid are not refunded, not even pro rata. The operator may change prices and limits after prior notice; the change applies from the next period. A subscription may be offered by the operator, for a limited or unlimited period, and ends according to the rules stated in the offer.
4. Client obligations
The client is solely responsible for the data it enters and the documents it issues: identity of the parties, amounts, VAT rates and number, legal mentions, QR references and payment data, deadlines, sending to recipients. It checks each invoice before finalising and sending it. It complies with applicable law, in particular tax law (VAT), commercial law and the data protection of its own customers, for whom it is the controller.
5. Client content
The client is solely responsible for the data, texts, documents and files it enters, imports or transmits through the application (in particular clients, invoices, quotes, templates, logos, images and e-mails), and for their accuracy, lawfulness and the necessary rights, in particular the data protection of its clients, debtors and principals. The operator does not check this content and assumes no liability for it, within the limits of mandatory law; it may delete or block any content that is manifestly unlawful or reported as such. The client holds the operator harmless from any third-party claim related to this content (see also section 13, Indemnity).
6. Statutory retention
Invoices and accounting records must be kept by the client for the statutory period (in principle ten years, art. 958f CO). Billix Evo facilitates this retention but does not assume the obligation: the client keeps its own copies (PDF, CSV and ZIP exports) on media under its control.
7. Backups
The entire site — database and files of all companies (invoices, PDFs, snapshots, images, signatures) — is backed up automatically once a day. In the event of an incident, outage, error or attack, data is restored to the state of the last available backup. Data entered, modified, imported or received since that last backup, i.e. up to twenty-four hours of activity, may be permanently lost. To the fullest extent permitted by applicable law, the operator is not liable for such loss or its consequences; it is for the client to re-enter the data concerned and to make its own exports as often as its business requires. Backups serve to restore the service as a whole; the operator is not obliged to restore a single company’s data or an earlier version of a document separately.
8. Availability and maintenance
The operator aims for high availability without guaranteeing it. Maintenance, updates, technical incidents or security interventions may temporarily interrupt all or part of the service, announced in advance where possible.
9. Support and bug reports
Support requests and bug reports are handled according to their nature and the resources available. Unless otherwise agreed in a separate written agreement, no time for acknowledgement, response, correction or resolution is guaranteed, and no obligation of result is assumed for the resolution of a ticket.
10. Security and data leaks
The operator implements reasonable security measures (encrypted connections, access control, logging, daily backups). As no system is fully safe from attacks, errors or failures, a leak, loss of or unauthorised access to data can never be ruled out. To the fullest extent permitted by applicable law, the operator is not liable for it, except in case of intent or gross negligence. In the event of a data security breach, it informs the client as soon as possible.
11. Exclusion and limitation of liability
To the fullest extent permitted by mandatory law, the operator disclaims all liability, whatever its cause or nature, in particular for direct or indirect, consequential or immaterial damage, loss of data (including between two daily backups), profit, customers or business, interruptions, delays or errors of the service, calculation, numbering, VAT or content errors in documents, undelivered e-mails, content entered by the customer and acts of third parties (host, payment provider, e-mail provider, banks, cyberattacks), as well as for its auxiliaries (art. 101 para. 2 CO). If the operator is nevertheless liable, its liability for all damage in a calendar year is limited to the fees actually paid by the customer in the twelve months preceding the damaging event, and to zero for a free or complimentary plan. Liability for intent and gross negligence (art. 100 para. 1 CO) and the other mandatory provisions remain reserved, in particular in case of injury to life, body or health and under the Federal Product Liability Act (PrHG/LRFP). Any claim must be notified in writing within 30 days of becoming aware of the damage. The operator is not liable for force majeure.
12. Service provided as is
The service is provided “as is” and “as available”, with no warranty that it is error-free or fit for a particular purpose. The operator may develop, restrict or withdraw functions and suspend access without notice in case of security risk, abuse or non-payment. It may use subcontractors of its choice (hosting, payment, e-mail, bot protection).
13. Indemnity
The client indemnifies and holds the operator harmless from any claim, fine, cost and expense, including reasonable legal fees, from its customers, authorities or other third parties in connection with documents issued, data processed or the use of the service by its users, or with a breach of these terms.
14. Electronic acceptance by customers
Online acceptance of an invoice is a simple electronic acceptance with time-stamped proof. It is not a qualified electronic signature within the meaning of ZertES; the client assesses for itself whether it meets its needs.
15. Cancelling the subscription
The customer may cancel a paid subscription at any time in the application (Subscription → “Cancel my subscription”, after confirming their password) or from the payment portal. The cancellation takes effect at the end of the period already paid; until then, access remains complete. Amounts paid are not refunded, neither in full nor pro rata for the remaining period. The cancellation can be withdrawn until the end date. It is confirmed by e-mail, and a reminder is sent seven days before the end. At the end of the period, the company moves to the free plan if one exists, and its data remain accessible and exportable; otherwise, access is closed and the data are kept for thirty days, then deleted under section 16.
16. Deleting the account and the data
A user may delete their account, and an administrator the whole company, from the application, after confirming their password and typing the word DELETE (or SUPPRIMER). Access is closed immediately and all sessions are ended. An archive of the data is kept offline during a grace period of fourteen days (adjustable by the operator between 1 and 90 days); during this period the account can be restored on request to the operator. At the end of the period, the data and the archive are permanently deleted, with no possible restoration; they may remain in the daily backups until their normal rotation. The customer first exports the invoices and records it is required to keep (section 6). The operator keeps for ten years its own accounting records relating to the subscription (plan, payments, payment identifiers), a minimal trace of the closure (account name, dates, requester) and its security logs according to their retention period. No amount paid is refunded.
17. Termination by the operator
The operator may decide not to renew the contract and end it at the end of the paid period, without notice; access to exports remains open for a reasonable period after the end of the contract. In case of abusive use or use contrary to these terms (in particular fraud, abuse, harm to security, illegal content or non-payment), the operator may suspend access or terminate the contract with immediate effect; amounts due remain due and no refund is owed, subject to mandatory law.
18. Transfer of operation
The operator may at any time transfer, in whole or in part, the operation of the service, this contract and the data needed to continue it to another entity, in particular an affiliated company or an acquirer (sale, merger, reorganisation). The customer consents to this now (anticipated assignment of the contract). The customer is informed by e-mail or by a notice in the application. The acquirer takes over the operator’s obligations, in particular regarding data protection (nFADP); the data remain hosted in Switzerland.
19. Operator access to data
For support, security and legal compliance, the operator may view customers’ data through a dedicated administration account. Such access is limited to what is necessary, every view is logged (date, company, item viewed) and this log cannot be changed or deleted from within the application.
20. Changes to the terms
The operator may change these terms. Clients are informed in the application; continued use after notice constitutes acceptance. The version in force is always published on this page.
21. Governing law and jurisdiction
Swiss law applies. Subject to mandatory jurisdictions, the place of jurisdiction is the operator’s registered office.
22. Partial invalidity
If a clause, in particular a limitation of liability, is held void or unenforceable, it is replaced by the valid clause closest to the parties’ intention, in particular by the broadest limitation of liability permitted by applicable law; the other clauses remain in force.
